Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Team Spawn platform (“Service”), provided by Team Spawn (“we”, “us”, “our”).

By creating an account or using the Service, you agree to these Terms.

1. Definitions

  • Service: The Team Spawn application and related services
  • User: Any individual accessing the Service
  • Customer: The organization subscribing to the Service
  • Content / Customer Data: Any data entered, uploaded, or generated within the Service

2. Use of the Service

Team Spawn grants the Customer a limited, non-exclusive, non-transferable, and revocable license to access and use the Service during the term of the agreement.

You agree to:

  • Use the Service only for lawful purposes
  • Provide accurate information
  • Maintain the confidentiality of your account credentials

You must not:

  • Violate applicable laws or regulations
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell or sublicense the Service without authorization

3. Accounts

Users access the Service through accounts provisioned by or on behalf of a Customer.

The Customer:

  • Acts as Data Controller for personal data processed in the Service
  • Is responsible for managing users, roles, and permissions
  • Ensures that use of the Service complies with applicable laws and internal policies

4. Customer Data

All Customer Data remains the property of the Customer.

Team Spawn processes Customer Data solely:

  • To provide and operate the Service
  • In accordance with the Data Processing Agreement (DPA)

Team Spawn may use aggregated and anonymized data for:

  • Service improvement
  • Analytics and performance monitoring
  • Benchmarking and product development

Such data will not identify any individual or Customer.

5. Privacy

Personal data is processed in accordance with:

  • The Privacy Policy
  • The Data Processing Agreement (DPA)

6. Availability

Team Spawn will use commercially reasonable efforts to maintain availability and performance of the Service.

The Service may be subject to:

  • Scheduled maintenance
  • Updates and improvements
  • Temporary interruptions

Support will be provided within a reasonable timeframe.

7. Security

We implement reasonable technical and organizational measures to protect data.

However, no system is completely secure, and we cannot guarantee absolute security.

8. Sub-processors

Team Spawn may use third-party service providers (sub-processors) to operate the Service, including infrastructure providers such as Amazon Web Services.

Details are provided in the Data Processing Agreement.

9. Subscriptions, Fees and Payment

Subscription plans, fees, and billing conditions are defined on our Pricing section and during checkout. Payments are securely processed through authorized payment processors and merchants of record, including Creem.

All subscriptions, automatic renewals, cancellations, and refund terms are governed by our Cancellation and Refund Policy, which is incorporated into these Terms by reference.

Failure to pay may result in suspension or termination of access to the Service.

10. Suspension and Termination

We may suspend or terminate access to the Service if:

  • These Terms are violated
  • Required by law
  • Necessary to protect the Service or other users

Customers may terminate their use of the Service at any time.

11. Data Retention and Deletion

Upon termination, Customer Data will be deleted or returned in accordance with the Data Processing Agreement, unless retention is required by law.

12. Intellectual Property

The Service, including its software and content (excluding Customer Data), is owned by Team Spawn.

No rights are granted except as necessary to use the Service.

13. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is”
  • Team Spawn shall not be liable for indirect, incidental, or consequential damages

Total liability shall be limited to the amount paid by the Customer for the Service in the preceding 12 months.

14. Governing Law

These Terms shall be governed by the laws agreed with the Customer or, if not specified, the laws of the jurisdiction in which Team Spawn operates.

15. Changes to the Terms

We may update these Terms from time to time.

Continued use of the Service after changes constitutes acceptance of the updated Terms.
